1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement made between you ("User", "Client", or "you") and Intelloworks ("Company", "we", "us", or "our"), governing your access to and use of the website (https://intelloworks.com), web tools (including the Shopify Inventory Converter at https://intelloworks-app.vercel.app/), and our digital agency and CRM software services.

By accessing our site, registering for a demo, or engaging our agency services, you agree that you have read, understood, and agreed to be bound by all of these Terms of Service.

2. Agency & Software Services

Intelloworks provides web design, software development, e-commerce engineering, digital marketing management, and CRM workflow automation services:

  • Service Proposals & Scope: Specific deliverables, project milestones, and client responsibilities are governed by mutually executed proposals or statement of work (SOW) documents.
  • Web Applications & Software Tools: Our web applications, including the Shopify Inventory Converter, are provided to assist users in transforming dataset formats for store import. Users are responsible for inspecting output CSV files prior to importing into third-party stores.

3. Intellectual Property Rights

Unless otherwise indicated, the website, source code, visual design system, logos, trademarks, and software tools are our proprietary intellectual property protected by copyright and trademark laws. Upon full payment of agency service fees, clients receive ownership or designated licenses to custom website builds and assets produced specifically for their project as outlined in their SOW.

4. User Responsibilities & Acceptable Use

When using our website, contact forms, or web applications, you agree not to:

  • Use our web tools or platforms for unlawful, fraudulent, or harmful purposes.
  • Attempt to bypass security measures, reverse-engineer proprietary software features, or launch automated scraping/denial-of-service attacks.
  • Submit false or misleading contact information through client request forms.

5. Payment Terms & Subscriptions

Fees for digital marketing, web design, or CRM workspace access are specified in your service agreement or invoice. Payments are due according to agreed invoice terms. Subscriptions or recurring retainers can be cancelled in accordance with your executed client service contract.

6. Limitation of Liability

To the fullest extent permitted by applicable law, Intelloworks and its directors, employees, or partners shall not be liable for any indirect, consequential, exemplary, incidental, or punitive damages (including loss of profit or business interruption) arising from your use of the website, web tools, or third-party service integrations.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States (and applicable federal laws), without regard to its conflict of law principles.
